Welcome to FadexMarketing.com. These Terms of Service (“Terms”) set out the rules for using the FadexMarketing.com website (the “Site”) and the products and services offered on it. The Site is operated by FDXM Marketing, LLC, PO Box 3540, Silver Springs, NV 89429.

1. Acceptance of Terms

By accessing or using the Site, you agree to these Terms, our Privacy Policy, our Refund Policy, and any other policies posted on the Site, all of which are part of this agreement. If you do not accept all of them, please do not use the Site.

In these Terms, “you,” “your,” and “Member” mean the person accessing the Site. “FadexMarketing,” “the Company,” “we,” “us,” and “our” mean FDXM Marketing, LLC. Words in the singular include the plural and vice versa.

2. Changes to These Terms and the Site

We may update these Terms at any time. The current version is always available through the “Terms of Service” link at the bottom of our pages. Changes take effect when posted on the Site or otherwise communicated to you, for example by email. Your continued use of the Site after changes are posted means you accept them. Changes will not apply retroactively to purchases already completed.

We may also change, suspend, or discontinue any part of the Site at any time, including content, features, and availability.

3. Eligibility

You must be at least 18 years old to create an account or make a purchase on the Site. We reserve the right to refuse service or membership to anyone at our discretion.

4. Description of Services

The Site gives you access to digital products, including private label rights (PLR) ebooks and related materials, download areas, and product information (together, the “Services”). Updates, new features, and new products are also covered by these Terms, our Privacy Policy, and the license that comes with each product.

5. Delivery

All products are digital. After your payment is confirmed, your products are delivered by email and are available to download from your FadexMarketing account. No physical items are shipped. If you don’t receive your access email, check your spam folder or contact us.

6. Your Account and Security

If you create an account, you agree to provide accurate, current, and complete information and keep it up to date. You are responsible for:

Keeping your password and login details confidential
All activity that happens under your account
Notifying us immediately of any unauthorized use of your account or other security breach

Your account is personal to you and may not be transferred or shared. We are not liable for losses caused by someone else using your account, and you may be held liable for losses we or others suffer because of such use. You may not use another person’s account without their permission.

7. Product Licenses (PLR Rights)

Each product you buy comes with its own license terms, which explain what you may and may not do with it (for example, whether you can edit it, rebrand it, resell it, or give it away). Your use of each product is governed by the license included with that product. If a product’s license conflicts with these Terms on how you may use that product, the product license controls.

Unless a product license says otherwise, purchasing a product does not transfer ownership of the underlying copyright to you.

8. Site Content and Intellectual Property

Apart from rights granted to you in a product license, FadexMarketing and/or its licensors own all intellectual property rights in the Site and its content, including text, graphics, logos, and design. You may view and print pages from the Site for your own personal use, subject to these Terms.

You must not, except as allowed by a product license:

Republish material from the Site
Sell, rent, or sub-license material from the Site
Reproduce, duplicate, or copy material from the Site
Redistribute content from the Site

Nothing on the Site grants you a license to use any trademark, service mark, or logo owned by FadexMarketing or any third party.

9. Respecting Others’ Intellectual Property

When using the Site, you agree to obey the law and respect the intellectual property rights of others. You may not upload, download, display, transmit, or distribute any material in violation of anyone’s copyright, trademark, or other rights. You are solely responsible for any violations caused by material you provide or that is provided through your account.

10. User Comments

Some parts of the Site may let users post comments, reviews, or other content (“Comments”). We do not review Comments before they appear, and they reflect the views of the person who posted them, not FadexMarketing. To the extent allowed by law, we are not responsible for Comments or any loss resulting from them. We may monitor and remove any Comment we consider inappropriate, offensive, or in breach of these Terms.

By posting a Comment, you confirm that:

You have the right to post it
It does not infringe anyone’s copyright, trademark, or other rights
It contains nothing defamatory, offensive, indecent, unlawful, or invasive of privacy
It is not used to solicit business or promote unlawful activity

You grant us a non-exclusive, royalty-free license to use, reproduce, and edit your Comments in any form or media.

11. Linking to the Site

You may link to our home page or other pages on the Site as long as the link is not misleading, does not falsely imply our sponsorship or endorsement, and fits the context of the linking site. You may not use our logo or artwork for linking without our written permission. We may ask you to remove any link to the Site at any time, and you agree to do so promptly.

You may not frame the Site or use any technique that alters its visual presentation without our prior written permission.

We are not responsible for content on any website that links to ours. Links to the Site may not appear on pages with content that is unlawful, obscene, defamatory, or that infringes anyone’s rights, and you agree to indemnify us against claims arising from your website.

The Site uses cookies. By using the Site, you consent to the use of cookies as described in our Privacy Policy, which also explains how we collect and use your personal information.

13. Billing Terms

All purchases on the Site are one-time transactions. By completing your order, you authorize a single charge for the amount shown at checkout. We do not currently offer subscription or recurring billing products, and your payment method will not be charged again automatically. To buy more, you place a new order. Any offer involving recurring payments will be clearly disclosed at checkout before you buy. All prices are in US dollars unless stated otherwise.

15. Termination

NEITHER FADEXMARKETING NOR ITS AFFILIATES, EMPLOYEES, AGENTS, CONTENT PROVIDERS, OR LICENSORS WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR MAKE ANY WARRANTY AS TO THE RESULTS (INCLUDING INCOME OR EARNINGS) YOU MAY OBTAIN FROM USING THE SITE OR ANY PRODUCT, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FADEXMARKETING, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING THE SITE OR ITS PRODUCTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER THEORY.

THIS INCLUDES DAMAGES CAUSED BY ERRORS, OMISSIONS, INTERRUPTIONS, DELAYS, DEFECTS, COMPUTER VIRUSES, COMMUNICATION FAILURES, OR UNAUTHORIZED ACCESS TO RECORDS. WE ARE NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT PRODUCT.

You agree to defend, indemnify, and hold harmless FadexMarketing and its owners, employees, and agents from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of any product or its license, or your violation of any law or third-party right.

19. Force Majeure

Neither party is responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, fire, flood, power or network failures, equipment or software failures, and failures of third-party service providers. Performance will be suspended for as long as the event prevents it.

20. Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any purchase will first be resolved by binding arbitration in the State of Nevada, United States. Judgment on the arbitration award will be final and binding and may be entered in any court with jurisdiction. The prevailing party is entitled to recover its costs, including reasonable attorneys’ fees and out-of-pocket expenses.

21. Governing Law and Venue

These Terms, our Privacy Policy, product licenses, and any operating rules for the Site are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules. Subject to the arbitration section above, you consent to the exclusive jurisdiction of the state or federal courts located in Nevada for any dispute relating to the Site or Services.

22. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, product licenses, and any operating rules we post, are the entire agreement between you and FadexMarketing and replace any earlier written or oral agreements.

23. Severability, Waiver, and Headings

If a court finds any part of these Terms unenforceable, the rest remains in full force. Our failure to enforce any provision is not a waiver of it, and no waiver is effective unless made in writing by an authorized representative. Section headings are for convenience only and have no legal effect.

24. Accuracy of Information

We try to keep the information on the Site correct, but we do not guarantee that it is complete, accurate, or up to date, or that the Site will always be available. If you find a link on the Site objectionable, you may contact us. We will consider requests to remove links but are not obligated to do so.

Notices to FadexMarketing must be sent by email to support@fadexmarketing.com and by certified mail, return receipt requested, to the address below. Notices to you will be sent to the email address on your account. Email notices to you are considered delivered 24 hours after sending. Mailed notices to us are considered delivered 5 calendar days after sending by certified mail.
